Consulting Agreement

This Consulting Agreement ("Agreement") is made effective as of the date of purchase, by and between Dr. MBA Healthcare Consulting, with a principal place of business at 17201 Collins Avenue, Apt. 3902, Miami, FL, 33160 ("Consultant"), and the purchaser ("Client").

WHEREAS, the Consultant is engaged in the business of providing practice management consulting services and

WHEREAS, Client desires to retain Consultant to provide consulting services on the terms and conditions outlined in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. **Services.** The Consultant agrees to provide the consulting services ("Services") described in this offer.
2. **Term.** This Agreement shall commence on the Effective Date of purchase and continue in effect until six (6) months from the purchase date or until terminated by either party with notice.
3. **Compensation** In consideration for the Services to be provided by the Consultant, the Client agrees to pay the Consultant a fee of $3,500.
4. The parties understand that the fees paid to the Consultant are for the services rendered and are non-refundable. In the event of early termination (see # 6, Termination), the fees paid for the unused portion of the consulting hours will be prorated as follows: total paid less the cost of hours completed and the full cost of the resources accessed.
5. **Confidentiality.** Consultant agrees not to disclose, reveal, or use any information learned from Client during the term of this Agreement or subsequent periods, which information is not publicly known and that may be considered confidential.
6. **Termination.** Either party may terminate this Agreement upon thirty (30) days' written notice to the other party.
7. **Excuse of Performance. ** The Consultant shall not be responsible for any delay or inability to provide the Services caused directly or indirectly by strikes, accidents, climatic conditions, or any other reason of a similar or similar nature beyond its control.
8. **Disclaimer.** The Consultant makes no expressed or implied warranties, including those of merchantability or fitness for particular use for the services under this agreement, and hereby disclaims the same to the extent allowed by law.
9. **Governing Law.** This Agreement shall be governed by and construed under the laws of Florida.
10. **Disputes.** In the event that any dispute arises, the parties shall first attempt in good faith to resolve it in an informal fashion. In the event that both parties are not able to satisfactorily resolve the dispute, an arbitrator may be appointed by each party, and delegated to resolve a dispute following a written demand in thirty (30) days.
11. **Entire Agreement.** This Agreement contains the entire agreement between the parties relating to the subject matter hereof. It supersedes all prior agreements and understandings, oral or written, between the parties with respect to the subject matter hereof.
